Article of Association of Sri Venkateswara Bala Kuteer

Founder : The founders of the Association are MS. Nannapaneni Manga Devi and Ms. Garige Prabhavathi, who are permanent life members of the institution.

Membership:

Eligibility : Those who are above 25 years of age and interested in the cause of education and furtherance of objectives of this society.

General body shall consist of not more than 15 members other than Founder Secretary who are life members of General Body and Executive Committee. It can only be increased by a special reaolution of the general body with 3/4 majority.

Election of adult members as members of general body shall be made by the existing members of the executive committee from time to time for a period of 5 years each at a meeting called for the purpose. Interim vacancies also may be filled up by the executive committee for the unexpired period.

Admission : Admission of members is entirely left to the discretion of the executive committee. Application for admission shall be submitted to the secretary in the forms prescribed, who shall place them before the next meeting of the executive committee.

Patrons : Those who donate not less than Rs.50,000/- at a time shall become partons.
Donors : Those who donate not less than Rs.25,000/- at a time shall become donors.

Each member is entitled to exercise one vote

The official year of the Sri. Venkateswara Bala Kuteer, Guntur, shall be form 1st April to 31st March of the succeeding year.

Executive Committee and Office Bearers :
Executive committee shall consist of 7 members.
a. Founder Secretary and Founder Joint Secretary.
b. 5 other members to be elected by the general body meeting called for the purpose.
Office bearers:
President, Vice-president, Secretary, Joint Secretary.

Mode of Elections::

The founders in view of their past service and sacrifice in the cause of the child welfare shall be the members of the executive committee for life unless they vacate the office. They are at liberty to co-opt any body to the executive committee for the month.

The founder Kum.Nannapaneni Manga Devi shall be the secretary of the Sri Venkateswara Bala Kuteer, Guntur. The founder Kum. Garige Prabhavathi shall be the joint secretary.

The president shall not be removed from the office except by are solution passed by a 2/3 majority of the members present and voting at a General Body meeting specially convened for the purpose.

At the general body meeting of the members specially convened for the purpose, the executive committee shall be elected. All nominations for election to the executive committee at the annual General Body meeting shall be made by a proposer and a seconder with the prior consent of the proposed nominee in the form prescribed.

All nominations to the executive committee from the member of general body shall be made by a proposer and a seconder in prescribed from to be filled before the secretary not less than 7 days before the date of election.

The president and vice president shall be elected by the executive committee from amongst its members at a meeting called for the purpose for a period of 3 years. Interim vacancies may also be filled by the executive committee for the unexpired period.

The founder Kum N.Manga Devi shall be the secretary for life of Sri Venkateswara Bala Kuteer, Guntur while the founder Kum. Garige Prabhavathi shall be joint secretary for life. During their life they shall be entitled to all medical aid, residence, travelling and incidental expenses, besides an honourorium of Rs.5,000/- (Rupees Five thousand only) per month out of the funds of the society. Subject to above, the executive committee may increase such amentities and honororium from time to time.

Duties of the office - bearers ::

President : The president shall preside over the meetings of the general body and executive committee and shall exercise general supervision ove the affairs of the association.

Vice-president : In the absence of the president the vice president shall preside over the meeting and shall exercise all duties of the resident.

Secretary : The secretary shall look after the day to day anagement of the Sri Venkateswara Bala Kuteer, subject to the directions of the Executive committee. She shall be the person to sue or be sued, on behalf of the association. All legal documents on behalf of the association , or in favour of the association shall be in her name. She is authorised to operate upon the Bank Accounts, The secretary shall appoint necesary staff, fixing salaries and remove them if necessary.

Joint-secretary : Joint secretary shall assist the secretary in her duties. In the absence of secretary, joint secretary shall discharge the duties of the secretary.

Terms of Office : The executive committee shall be in office for a period of 3 years. Members of the executive committee shall continue in office after the expiry of the term until successive committee is constituted. The interm vacanicies in the executive committee may be filled by the remaining members by co-option for the unexpired period from among the members of the General Body.

Meeting of the executive committee : The secretary shall convence the meeting once in every three months or as when necessary with a notice of 3 days. Every member shall attend the meeting of the executive committee and if any member absents himself consequetively for three meetings or for one year, his membership will cease ipsofacts. The quorum of the meeting shall be three. All matters shall be decided by a majority vote.

Funds : The surplus funds shall be invested as decided by the executive committee.

The accounts of the association shall be audited every year by an auditor appointed by the executive committee.

Advisory Board : Different Committees shall be formed to look after several activities. The association shall have a advisory Board constituted with 5 years period by the executive committee consisting of reputed persons belonging to various walks of life to advise, assist and help the association promoting its objects during its term.

15.

General Body Meeting : The Annual General Body meetings shall be held with seven days notice in writing to all the members. The quorum of the General body meetings shall be 5 or 1/3rd of the total number of the members on roll which ever is less. No amendment to the rules and regulations of the association shall meeting specially convened for the purpose.

16.

Functions of the executive committee : subject to the resolutions passed by the general body the administration of the affairs of the association shall vestin executive committee. The following among other matters shall be dealt with by the executive committee.

To exempt the poor and deserving child from payment of fees.

To pass resolutions not inconsistent with the articles of association - To purchase or take on lease or otherwise acquire any property for the use of the association. To accept any gift or property from any person or institution.

To invest or otherwise deal with the money's of the Association for the nenefit of the Association.

To raise funds for the promotion of the objects of the association.

To sell, mortgage, to exchange or lease the properties of the association for its benefit.

To open and organise the branches of the association

To submit any return of statement that may be prescribed by the government of any authority.

17.

Business of the General Body : the ultimate authority in all matters relating to the association shall vest in the General Body which shall transact the following business among their matters.

The election and removal of member or members of the executive committee.

To consider the annual report of the association.

To amend or repeal the articles of the association, any such business proposed at the meeting.
